Job Description

We are seeking a Corporate Paralegal with at least 3 years of experience to join a dynamic and sophisticated Corporate & Business Group. The ideal candidate should have experience and a strong understanding of paralegal responsibilities related to various corporate and financial transactions, including:

Drafting ancillary transaction documents, including resolutions, certificates, entity formation documents, state filings, and other governance documents.

Coordinating due diligence activities, including organizing documents and records, establishing and maintaining virtual data rooms, preparing closing documents, and coordinating closing and post-closing requirements.

Preparing and maintaining transaction timetables and checklists.

Preparing and filing annual reports and other periodic compliance filings with federal, state, and local agencies.

Organizing and maintaining corporate minute books and stock ledgers.

Conducting online UCC, corporate, and court record searches.

Preparing and filing UCC financing statements.

Assisting with federal and state business licensing matters.

Assisting with all aspects of final transaction closings.

Qualifications

Minimum 3 years of corporate paralegal experience.

Experience supporting corporate and financial transactions.

Strong verbal and written communication skills.

Excellent organizational and time-management skills.

Ability to manage multiple projects simultaneously.

Strong attention to detail.

Proficiency with Microsoft Office Suite.

Bachelor’s degree and paralegal certificate preferred, or equivalent relevant work experience.
