Primary Role
- Draft, review and negotiate vendor agreements, service agreements, consulting agreements, confidentiality agreements, access agreements and other commercial contracts, independently resolving routine terms within established playbooks and escalating material legal or business issues as appropriate.
- Advise on contract interpretation, amendments, extensions, renewals, termination provisions and contractual matters, supporting business teams in resolving routine contract-related issues.
- Develop, draft and maintain standard contract forms, templates and playbooks, identify recurring negotiation issues and recommend improvements to contracting standards and processes.
- Provide legal guidance on landlord-tenant requirements, leasing practices, eviction requirements and other legal matters routinely affecting property operations
- Provide and/or oversee the research, monitoring, applicability and interpretation of federal, state and local laws and regulations affecting key areas of the Company’s business; analyze potential implications of changes in laws and regulatory requirements and propose necessary changes to the Company’s policies and operations, as applicable; communicate relevant developments and recommended actions to Legal and business stakeholders.
- Recommend, draft and support updates to agreements, forms, policies, procedures and operating practices in response to changes in applicable law or identified legal risks.
- Maintain oversight of the Company’s corporate entity files and organizational records, including formation documents, operating agreements, amendments, registrations and other entity-related documentation, ensuring records are current, complete and appropriately controlled.
- Support the maintenance, development and documentation of corporate governance matters.
- Provide substantive legal support for privacy, litigation, insurance claims and risk matters as needed, including legal research, document review, issue analysis, case or claim summaries and coordination with outside counsel and internal stakeholders.
- Support the GC and US-based Legal team in evaluating and managing significant legal matters, identifying key facts, legal issues, risks, deadlines and recommended paths forward.
- Coordinate with outside counsel and other legal service providers on assigned matters, monitor progress and deliverables, and help ensure efficient use of external legal resources.
- Partner directly with property operations, Asset Management, Finance, Accounting, Human Resources, Risk, Information Security and other business functions to provide practical legal support and facilitate resolution of assigned matters.
- Maintain high-quality legal documentation, matter files and supporting records, ensuring appropriate confidentiality, privilege, version control and follow-through from initial assignment through completion.
- Exercise independent judgment within established areas of responsibility, proactively identify legal and business risks, and escalate significant, novel or high-risk matters to the General Counsel or other US-based Legal leadership.
- Identify and drive improvements to legal processes, contracting workflows, knowledge management and technology utilization, including opportunities to standardize work and leverage AI and other legal tools.
- Work from the Bengaluru office under the hybrid working model, with working hours aligned to provide meaningful daily overlap with US business hours; flexibility is expected for time-sensitive legal matters and other peak periods.
- Oversee the work and performance of junior attorney(s) on the Bengaluru legal team
- Perform other legal, regulatory and strategic projects and responsibilities as assigned
QUALIFICATIONS & SKILLS
- JD, LL.B. or equivalent law degree is required; admission to practice law in the candidate’s home jurisdiction is preferred.
- Eight or more years of relevant legal experience, including meaningful experience supporting US corporate, commercial, real estate or operating-company matters.
- Strong commercial contracting experience, including demonstrated ability to independently draft, review and negotiate vendor, service, consulting, confidentiality and other business agreements.
- Demonstrated ability to apply legal judgment to operational matters, identify material legal and business risks and develop practical solutions within established areas of authority.
- Strong knowledge of legal research and regulatory analysis, with the ability to interpret statutes, regulations and other requirements across multiple US jurisdictions and translate them into practical business guidance.
- Strong legal drafting and writing skills, with the ability to prepare agreements, legal analyses, executive summaries and other work product requiring limited revision.
- Experience supporting landlord-tenant, real estate operations or other multi-jurisdiction operating matters is preferred.
- Experience maintaining corporate entity records, organizational documents and governance-related materials is preferred.
- Strong analytical and problem-solving skills, with the ability to assess complex or incomplete fact patterns, identify key legal issues and determine when escalation is appropriate.
- Demonstrated ability to independently manage multiple substantive matters from intake through resolution while maintaining appropriate communication with senior Legal leadership.
- Strong stakeholder-management and communication skills, with the ability to work effectively with senior business leaders, attorneys, outside counsel and other parties across functions and time zones.
- High degree of professional judgment, discretion and confidentiality when handling sensitive, privileged or business-critical matters.
- Experience with legal research databases, contract or matter-management systems, document-management tools and technology-assisted legal workflows is preferred.
- Experience supporting a US real estate company, property management company, corporate legal department or law firm is strongly preferred.
- Experience in one or more of commercial contracts, landlord-tenant law, regulatory compliance, corporate governance, privacy, litigation or insurance and risk management is preferred.
